This course provides a comprehensive introduction to the foundations of
international commercial law with a particular focus on cross-border sales
transactions. Students will explore the concept and sources of international
commercial law, including the United Nations Convention on Contracts for the
International Sale of Goods (CISG), INCOTERMS, UNIDROIT Principles. Key
topics include international sale of goods and commercial representation and
intermediation (agency), as well as distribution agreements.
The course also examines the formation, structure, and interpretation of
international commercial contracts, the applicability of the CISG to smart contracts, emphasizing party autonomy and the
determination of applicable law. Special attention is given to force-majeure and dispute resolution in
international trade, comparing the advantages and disadvantages of litigation
and international commercial arbitration, alongside the recognition and
enforcement of foreign judgment and arbitral awards.
By the end of the course students will gain a solid understanding of the legal
principles and practical mechanisms shaping international trade relations,
equipping with analytical skills relevant for both academic research and
professional practice.
The final assessment takes the form of a presentation prepared by each
student on a topic selected from a provided list.
